   Acceptance of these Terms

   By accessing or using KiheiRoad — including the website, dashboard, signal feed, API, or any related service (the "Service") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and KiheiRoad ("we," "us," the "Platform"). Continued use after material changes constitutes acceptance of the updated Terms.

   What KiheiRoad is — and is not

   KiheiRoad is a signal and copy-trading platform that surfaces trades made by verified onchain wallets, narrates them in plain English using artificial intelligence, and — when you authorize it — mirrors those trades onto your own custodial wallet inside risk caps you define. KiheiRoad is NOT a registered investment adviser, broker-dealer, commodity pool operator, exchange, money transmitter, or custodian. We do not provide investment, financial, legal, or tax advice. We do not hold, control, or have access to your funds at any point.

   Eligibility

   To use the Service, you must (a) be at least 18 years old or the age of majority in your jurisdiction, whichever is greater; (b) have the legal capacity to enter into binding contracts; (c) not be a Restricted Person (see Section 13); (d) not be located in, organized under the laws of, or ordinarily resident in any Restricted Jurisdiction; and (e) not be on any sanctions list maintained by the United States, United Kingdom, European Union, United Nations, or other applicable authority. You represent and warrant that all of the above are true each time you use the Service.

   Account registration and security

   You create an account by submitting a valid email address, which receives a single-use magic-link token. You agree to (a) provide accurate, current information; (b) maintain only one account per natural person or legal entity; (c) keep your email and any session credentials secure; (d) notify us promptly of any unauthorized access. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that appear to be sybil, duplicate, fraudulent, or compromised.

   Custodial wallets (Turnkey)

   When you upgrade to Approval or Auto mode, the Service provisions an Ethereum-compatible custodial wallet on your behalf through Turnkey Holdings, Inc. ("Turnkey"), a third-party MPC infrastructure provider. The private key is split via threshold cryptography across Turnkey's secure-enclave hardware. KiheiRoad does not have, store, or have the ability to reconstruct your private key. Your wallet is functionally yours. Turnkey's own terms of service apply to your relationship with them; we make no warranties about Turnkey's service. If Turnkey ceases operations or experiences security issues, your funds may be affected — see the Risk Disclosure for detail.

   Execution venue (Hyperliquid)

   All trade execution occurs on Hyperliquid, a decentralized perpetual futures exchange operating on its own Layer 1 blockchain. KiheiRoad is not Hyperliquid and has no relationship with Hyperliquid Labs or any other operator of the protocol. Your use of Hyperliquid is governed by Hyperliquid's own terms. We construct orders, sign them on your behalf within your authorizations, and submit them to Hyperliquid. Hyperliquid is solely responsible for matching, settlement, liquidation, and clearing. KiheiRoad is not liable for Hyperliquid downtime, smart contract bugs, oracle failures, or other venue issues.

   Service modes and your consent

   The Service offers three distinct modes, which you may select and change at any time: (a) SIGNAL mode — read-only access to AI-narrated signals; no trades are executed on your behalf; (b) APPROVAL mode — when a followed trader makes a move, the Service surfaces a 60-second approval modal; you must affirmatively click "Approve" for any trade to fire; (c) AUTO mode — you authorize the Service to construct, sign via Turnkey, and submit orders on your behalf, strictly within risk caps you have defined (maximum position size, maximum leverage, maximum daily realized loss, allowed assets). By enabling AUTO mode, you provide informed consent to autonomous execution within those caps and acknowledge that no human will review individual trades before they fire.

   Risk caps and circuit breakers

   When you enable APPROVAL or AUTO mode, you set risk caps that govern every trade. The Service enforces these caps server-side before any order is signed: requests exceeding the caps are rejected at the API layer and never reach Turnkey or Hyperliquid. A daily-loss circuit breaker tracks your aggregate realized profit and loss and pauses autonomous execution when the daily loss threshold is reached. Caps may be changed by you at any time but cannot be raised above platform-wide hard limits we maintain. We may lower platform-wide caps without prior notice if market conditions or regulatory requirements warrant.

   Trader listings and signals — informational only

   Verified traders listed on the Platform are independent third parties whose Hyperliquid wallets are publicly observable onchain. Their trades, performance, narratives, and any metadata displayed by the Service are INFORMATIONAL ONLY. They are not (and are not intended to be) investment advice, recommendations, solicitations, or offers of any security or financial instrument. Past performance does not guarantee future results. AI-generated narrations describe what a trader did and contextualize it from publicly available market data — they do not predict or recommend. Your decision to follow a trader, mirror their moves, or take any action in response to a signal is yours alone.

    Fees and payments

    Fees consist of: (a) a SUBSCRIPTION fee of $25 per month for APPROVAL mode and $45 per month for AUTO mode (or the then-current rates), billed monthly in advance via Stripe and cancellable at any time; (b) a BUILDER FEE of up to 0.1% per trade routed through the Service in AUTO mode, deducted directly by Hyperliquid at execution and routed to KiheiRoad's wallet on-chain. By enabling AUTO mode you sign a one-time ApproveBuilderFee authorization specifying the maximum builder rate; KiheiRoad's actual builder fee defaults to 0.05% per trade. Fees are stated in U.S. dollars (or USDC equivalent) and are exclusive of any applicable taxes you may owe. We may adjust fees with at least 30 days' advance notice.

    Builder fee mechanics and dispute window

    The builder fee in AUTO mode is computed by Hyperliquid at the time of each fill based on the per-order builder rate (which will not exceed the maximum rate you authorized) and the notional value of the executed order. The fee is debited from your wallet's USDC balance and routed to KiheiRoad's wallet by Hyperliquid; KiheiRoad does not hold custody at any point. Every fill receipt available in your Hyperliquid account or via the KiheiRoad portfolio view shows the builder fee paid. You may dispute any specific builder fee charge within 14 days of the fill date by contacting us through the contact form; after 14 days, the fee is final. We will respond to disputes within 10 business days and may issue refunds or credits for verified calculation errors.

    Refunds and cancellations

    Subscription fees (APPROVAL and AUTO modes) are billed monthly in advance and are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of your current billing period. Builder fees on executed trades are final once the 14-day dispute window has elapsed and are not refundable. We do not offer refunds for trading losses incurred while using the Service.

    Restricted persons and jurisdictions

    The Service is not offered to, and may not be used by: (a) residents or citizens of the United States of America, regardless of physical location, until KiheiRoad announces availability for U.S. persons; (b) residents of any jurisdiction sanctioned by the United States, United Kingdom, or European Union, including but not limited to the Crimea, so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine, Cuba, Iran, North Korea, and Syria; (c) any person on the OFAC Specially Designated Nationals List, the EU Consolidated Financial Sanctions List, or any equivalent sanctions list; (d) any person under 18 years of age; (e) any person whose use of the Service would be unlawful under applicable law in their jurisdiction. We screen accounts against sanctions lists and use IP-based geolocation and self-attestation to enforce these restrictions but cannot guarantee perfect detection; you remain solely responsible for compliance with the laws of your own jurisdiction, including any local restrictions on cryptocurrency trading, derivatives, or the use of services that interact with decentralized perpetual futures exchanges.

    Anti-money laundering and sanctions

    We screen new accounts and ongoing activity against sanctions lists and may request additional information at any time. We may delay, restrict, freeze, or terminate access if we have reason to believe an account is engaged in money laundering, terrorist financing, sanctions evasion, fraud, or any unlawful activity. We may report suspicious activity to appropriate authorities as required by law. You agree to cooperate with reasonable compliance requests.

    Acceptable use

    You agree not to use the Service to engage in any prohibited activity, as fully described in our Acceptable Use Policy. Prohibited activities include, without limitation, market manipulation, wash trading, sybil follows, automated scraping of trader data without authorization, attempting to reverse engineer trader strategies, harassment, impersonation, attempting to circumvent risk caps, exploiting bugs or vulnerabilities, and any activity that violates applicable law. Violations may result in immediate account suspension, termination, and reporting to authorities where required.

    Intellectual property

    The Service, its design, software, content, branding, and AI narration models are owned by KiheiRoad or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not (a) copy, modify, or create derivative works of the Service; (b) reverse engineer or attempt to extract source code; (c) use any branding or trademarks without written permission; (d) republish trader signal data as your own product. You retain ownership of content you create (e.g., your own trade decisions), and grant us a license to use anonymized, aggregated data for service improvement.

    Trader rev-share — independent contractor

    Traders who list their wallets on the Platform do so as independent contractors, not employees, agents, partners, or joint venturers of KiheiRoad. Traders make their own trading decisions on their own wallets; KiheiRoad observes those decisions and offers users the ability to mirror them. The rev-share paid to traders equals 10% of every active follower's monthly subscription, calculated and paid monthly in USDC; it is compensation for the data their public wallets generate, not employment income. Traders are solely responsible for their own taxes, regulatory compliance, and trading conduct. KiheiRoad is not responsible for any trader's losses, decisions, or behavior, including but not limited to losses suffered by users who chose to follow that trader.

    Disclaimers — Service provided AS IS

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY TRADER WILL BE PROFITABLE, THAT ANY SIGNAL WILL BE ACCURATE, OR THAT ANY TRADE EXECUTION WILL SUCCEED. CRYPTOCURRENCY MARKETS ARE VOLATILE AND UNPREDICTABLE. USE OF THE SERVICE IS AT YOUR SOLE RISK.

    Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIHEIROAD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR USE OR INABILITY TO USE THE SERVICE; (b) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (c) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (d) ANY TRADER'S DECISIONS OR PERFORMANCE; (e) ANY TRADE EXECUTION, NON-EXECUTION, OR DELAY; (f) ANY OTHER MATTER RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY IN ANY 12-MONTH PERIOD IS CAPPED AT THE GREATER OF (i) $100 OR (ii) THE TOTAL FEES YOU PAID US DURING THAT PERIOD. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED.

    Indemnification

    You agree to defend, indemnify, and hold harmless KiheiRoad, its affiliates, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms or any applicable law; (c) your infringement of any intellectual property or other right of any third party; (d) any content you submit through the Service; (e) any dispute between you and any other user or third party.

    Termination

    You may terminate your account at any time by submitting a request through the contact form. We may suspend or terminate your access immediately, with or without notice, for (a) violation of these Terms; (b) suspected fraud, sanctions, or sybil activity; (c) regulatory or legal requirements; (d) extended inactivity; (e) any other reason in our reasonable discretion. Upon termination: subscription fees already paid are non-refundable; builder fees already executed remain final; your right to use the Service ceases immediately; sections of these Terms that by their nature should survive termination (e.g., disclaimers, limitations of liability, indemnification, governing law) will survive.

    Governing law and dispute resolution

    These Terms are governed by the laws of the Cayman Islands (or such other jurisdiction in which KiheiRoad is then-incorporated), without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the International Centre for Dispute Resolution under its International Arbitration Rules, conducted in English in the Cayman Islands (or the applicable jurisdiction). You and KiheiRoad each waive any right to a jury trial. CLASS-ACTION AND CLASS-ARBITRATION WAIVER: you and KiheiRoad agree that each may bring claims against the other only in individual capacity and not as plaintiff or class member in any purported class or representative proceeding.

    Changes to these Terms

    We may modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email and an in-product banner. Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the changes, your sole remedy is to discontinue use of the Service before the effective date.

    Miscellaneous

    These Terms, together with the Privacy Policy, Risk Disclosure, Acceptable Use Policy, and Trader Code of Conduct, constitute the entire agreement between you and KiheiRoad and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our written consent; we may assign them freely. No agency, partnership, joint venture, or employment relationship is created by these Terms.
